I. GroupGenesis, LLC and Affiliated Group Companies - Founded in May 1999. GroupGenesis is a regional network of dedicated multi-disciplined Christian professionals serving emerging companies with strategic consulting on their unique business and personal financial situations through planning, implementing, managing and funding appropriate and affordable solutions. GroupBenefits - Developing and marketing employee and owner benefit plans.
GroupStewardship - Developing and marketing the ultimate church software for all faiths and languages.
GroupWick - Manufacturing and marketing, corporate promotions using scented candles.
GroupShield - Manufacturing and marketing products that shield users from radio waves when using cell phones.
GroupCare - Building and operating condominium personal care homes for the elderly.
GroupE - Building E-Commerce ventures
GroupRx - Applying technology solutions to the pharmaceutical industry.

III. Contract Employee Arrangements - Implementing appropriate solutions by becoming part of the management team. As of December 31, 2001, employed under part-time contract arrangements or serving on the Board of Directors of the following companies:

A manufacturer of ice rinks and roller blade facilities - Chief Executive Officer/Chief Financial Officer.
A manufacturer of broadband signal management equipment and solutions - Chief Financial Officer.
A software development company servicing schools with proprietary solutions using fingerprint and food ordering solutions that "feed more kids" - Chief Financial Officer.

Managed the corporate office of 15 professionals and administrative personnel in Johnstown and the divisional controllers in five decentralized operations in three states.
Responsible for all internal and external financial reporting, cash management, investor and lender relations, and the coordination of the strategic planning process and incentive compensation plans.
Acquired three major supermarket companies.
Disposed of department stores and supermarkets.
Completed a leveraged buyout of the Company.
Completed an IPO with two follow-on offerings and over $1 billion of financing.

Served as the Chief Financial Officer for the various private companies of the Pasquerilla family. Prior to 1993, served for two years as Crown's independent director for various loan covenants.
Responsible for monitoring the hotel and department store operations that were not included in the REIT's initial public offering of August 1993.
Extract the full value of real estate by disposal of six retail strip properties and 30 department stores and related operations.
Negotiated and executed a $120 million capital plan to refinance and improve 21 hotels.
Disposed of various real estate holdings and assets that were incidental to the family's businesses.
Handled Pasquerilla family financial and estate planning issues.
Effective May 1, 1995 was asked to become the CFO and Trustee of the Crown American REIT. Remained as an officer and director of all private companies in addition to the new public company duties.

As EVP and CFO, established a self-funding strategy for existing real estate assets and devised a successful strategy to fund growth opportunities .
Effective May, 1995 was appointed to the Board of Trustees and assumed the responsibilities of Executive Vice President and Chief Financial Officer for the publicly traded Real Estate Investment Trust (REIT).
Created and implemented a self-funding strategy for existing real estate assets and devised a successful strategy to fund growth opportunities .
Established an effective strategic planning and budgeting functions with related reporting and measurement systems.
Installed an effective strategic planning and budgeting program for the Company.
Established an internal environment for effective formal and informal communication of financial information and analysis throughout the Company (i.e.: Cash Yield on Cost and Economic Value Added).
Re-established the credibility of the Company's external reporting.
Negotiated and executed over $750 million of single property and securitized multi-property debt, along with $150 million of working capital and acquisition lines of credit.
Completed a $125 million Preferred Stock Offering.
Assisted CEO Frank Pasquerilla and President Mark Pasquerilla to control, coordinate and communicate special projects within the Company.
